BaseFlow Terms of Service & End User License Agreement (EULA)

Welcome to BaseFlow! These Terms of Service & End User License Agreement ("Terms") govern your access to and use of the BaseFlow web and mobile applications, including our League Management and Club Hub features (collectively, the "Platform"). By creating an account, accessing, or using BaseFlow, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. End User License

BaseFlow grants you a revocable, non-exclusive, non-transferable, limited license to access and use the Platform strictly in accordance with these Terms. You shall not reverse engineer, decompile, modify, or create derivative works based on BaseFlow.

2. User Accounts & Identity

  • Account Ownership: You are responsible for safeguarding your login credentials and for all activities under your account.
  • Player Passport & Identity: BaseFlow aggregates player career statistics across official leagues and social matches into a central Player Passport. Official league stats are verified by league operators; social/friendly stats are self-reported by club managers.
  • Placeholder Profiles & Profile Claiming: Club captains and managers may create temporary placeholder profiles for unregistered players. Claiming a profile via a tokenized invite link transfers all historical match data associated with that placeholder to your authenticated user account.

3. User Conduct & User-Generated Content (UGC)

  • You are solely responsible for any content, photos, names, scores, or tactics you upload to BaseFlow.
  • You agree not to upload content that is defamatory, offensive, unlawful, or infringes on third-party intellectual property.
  • BaseFlow enforces a zero-tolerance policy for abusive behavior or improper content. We reserve the right to remove non-compliant content or terminate accounts without prior notice.

4. Peer-to-Peer Treasury & Offline Payment Disclaimer (Crucial)

  • Tracking Tool Only: BaseFlow's payment ledger and QR upload features are administrative tracking tools for peer-to-peer team fee management.
  • No Financial Intermediary: BaseFlow is not a bank, payment gateway, money transmitter, or escrow agent. All offline payment transfers (e.g., PayNow, bank transfers, or cash) occur directly between users.
  • No Liability: BaseFlow assumes no liability for payment disputes, incorrect payment instructions uploaded by club admins, or failed peer-to-peer transfers.

5. Subscriptions & Club Pro Billing

  • Auto-Renewal: Subscriptions to Club Pro ($9.99/mo or $79/yr) auto-renew unless cancelled prior to the billing date via the self-service Billing Portal.
  • Payment Failure & Grace Period: If a recurring payment fails, your club enters a 10-calendar-day grace period. If unpaid after 10 days, the club reverts to the Free Tier (12 active player cap).
  • Roster Archiving: Upon downgrade, excess members beyond the 12-player limit are soft-archived by recency. No historical stats or player profiles are deleted.

6. Data Lifecycle & Archiving

  • Image Cleanup: Uploaded payment proof screenshots are automatically deleted 30 days post-review.
  • Inactivity Soft-Archive: Free Tier clubs inactive for 365 consecutive days will be soft-archived.
  • Purge & Anonymization: Free Tier clubs inactive for 730 days (24 months total) will have unclaimed placeholder profiles permanently anonymized, while retaining historical match scores.

7. Restrictions on Use & Intellectual Property Protection

Except as expressly authorized under these Terms, you agree that you will not, and will not permit or assist any third party to:

  • Copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the BaseFlow Services, applications, or visual assets in any form or media;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, data structures, or underlying algorithms, ranking logic, or ideas of the Service;
  • Access or use the Service to build, train, benchmark, or support a competitive product, application, or service;
  • Use any automated scraper, bot, crawl, or data extraction method to harvest league data, player profiles, statistics, or system outputs.

BaseFlow and its licensors retain all right, title, and interest (including all patent, copyright, trademark, trade secret, and other intellectual property rights) in and to the Service, APIs, and documentation.

8. Proprietary Rights & Intellectual Property

  • Sole Ownership: The BaseFlow platform, including all software, source code, databases, algorithms, user interface designs, workflows, documentation, logos, and trademarks, is and shall remain the sole and exclusive intellectual property of Baseline Labs Pte. Ltd. ("Baseline Labs").
  • No Implied Rights: Nothing in these Terms or in your use of the Service—whether as a club administrator, league organizer, player, or beta tester—grants or transfers to you or any third party any ownership, equity, patent, copyright, or licensing rights in or to the platform.
  • Feedback & Suggestions: If you, your organization, or any of your users provide suggestions, operational workflows, feature requests, improvements, or other feedback ("Feedback") to Baseline Labs, you hereby assign to Baseline Labs all right, title, and interest in and to such Feedback. Baseline Labs is free to use, modify, commercialize, and incorporate such Feedback into its products and services worldwide without any obligation, attribution, royalty, or compensation to you.

9. Limitation of Liability

To the maximum extent permitted by applicable law, BaseFlow shall not be liable for any indirect, incidental, special, or consequential damages resulting from your use or inability to use the Platform.
